Chapter 3 - Ownership Isn't a Technicality

The agreement identified the seller as Bennett Agricultural Holdings LLC rather than Rose Bennett individually. Frank looked confused, unable to understand why Claire considered that significant.

Rose explained that two years after Henry died, she transferred her ownership interest in Bennett Agricultural Holdings into an irrevocable trust created through her estate plan.

An independent fiduciary served as trustee. Rose herself could not simply sell the trust’s property whenever she wanted, and Jason possessed absolutely no authority over it.

The purchase agreement Frank had promoted as proof of ownership had never been approved by the actual legal owner. Dawson Development possessed no valid property transfer.

Frank accused Rose and Claire of hiding behind technicalities. Claire shook her head. “Ownership isn’t a technicality, Mr. Dawson. It’s the entire transaction.”

Frank turned toward investors and insisted his company had already paid for Bennett Orchard. Rose nodded slowly. “I know. That’s actually your bigger problem.”

Dawson Development had transferred $2.3 million as an initial payment, but none of that money ever reached Rose, the trust, or its independent fiduciary.

Instead, the money went into an account controlled through a shell company connected to Jason. Frank claimed he believed the account represented an authorized escrow arrangement.

Investigators questioned that explanation after reviewing Frank’s emails, particularly messages demonstrating he knew serious concerns existed regarding Jason’s authority before sending the money.

“You’re accusing me of fraud?” Frank demanded. Claire answered carefully. “I’m telling you there’s an investigation.” Then one officer stepped toward Frank.

The officer produced a warrant concerning alleged financial fraud and conspiracy charges, explaining that Frank would have an opportunity to challenge those allegations through counsel.

As officers escorted him away, Frank accused Rose of setting him up. She pointed toward the torn paper. “No, Frank. You did most of the work yourself.”
